Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the DutyWire mobile applications, websites (including dutywire.com), and related services (collectively, the “Services”) provided by DutyWire Technologies LLC (“DutyWire,” “we,” “us,” or “our”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services. These Terms apply to individual users of the public DutyWire app and do not constitute a system-of-record agreement for any agency, employer, or organization.

  1. Eligibility
    You may use the Services only if you are at least 13 years old (or the minimum age required by your country) and have the legal capacity to enter into these Terms. If you use the Services for another person or entity, you represent that you are authorized to do so and agree to these Terms on their behalf.

  2. Account Registration and Security
    Certain features require an account. You agree to: provide accurate, current information; maintain the confidentiality of your credentials; and notify us at support@dutywire.com of suspected unauthorized access. You are responsible for all activity under your account. If you enable “Remember Me,” your email and password are stored securely in your device Keychain to prefill sign-in; you can disable this at any time.

  3. Personal Use Only; Not an Official System
    The public DutyWire app is for personal use to help organize schedules, wellness, finances, notes, and records. It is not an official record system and is not a substitute for CAD, RMS, HR systems, medical systems, or any other official, emergency, or life-safety system.

  4. License
    Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the app on a device you own or control for personal, non-commercial use. You may not: copy/modify/derive; reverse engineer; rent/lease/sublicense/transfer; bypass security; abuse or access in an unauthorized manner.

  5. User Content and Data Handling
    5.1 Ownership: You retain ownership of content you submit, store, or share (User Content), including calendars/events, record folders/journal entries, attachments, notes, shift stamps, reminders, wellness entries, budgets, goals, or workout routines.
    5.2 License to operate: You grant DutyWire a limited, non-exclusive, worldwide, royalty-free license to host, store, process, display, and use your User Content only as needed to operate, maintain, and improve the Services.
    5.3 Duration: Our license ends when content is deleted from the Services, except where continued access is required to operate shared features, comply with law, enforce these Terms, or maintain reasonable backups/archives for a limited period.
    5.4 Shared content: User Content shared via shared calendars may remain visible to other members, subject to ownership/permissions, even if you revoke your own access.
    5.5 Sensitive data: Do not store regulated/highly sensitive data (e.g., PHI, classified data). DutyWire is not designed for regulated or official recordkeeping.
    5.6 Cloud vs. local storage:

    • Cloud-backed (AWS Cognito/AppSync/DynamoDB/S3/SNS/SES): calendars, events, shared calendar metadata (members, roles, invite codes, invitee email if provided); record folders, journal entries, attachments; shift stamps; calendar reminder overrides; push notification endpoints.

    • Local-only (on device/backups until you delete the app or clear local storage): money/budget entries, expense categories, savings goals, budgeting calculator inputs; daily check-ins, vitals, custom metrics; workout routines, assignments, skipped routine dates; profile photo (current version); local reminder overrides; app preferences.
      5.7 Your responsibility: You’re responsible for your User Content and compliance with law/rights. We may remove/restrict content that violates these Terms or law.

  6. Acceptable Use
    No unlawful/fraudulent/malicious activity; no harassment/harm; no unauthorized access; no interference/disruption/malware; no scraping/automation overload; no circumvention of security.

  7. No Emergency or Professional Advice
    The Services do not provide medical, legal, financial, or other professional advice and are not for emergency or life-safety use. In emergencies, use official channels.

  8. Third-Party Services and Links
    We are not responsible for third-party sites/services. Your dealings with them are yours. We use third-party providers (e.g., hosting/infrastructure); see the Privacy Policy for details.

  9. Subscriptions, Billing, and Refunds
    9.1 Billing: App store (e.g., Apple) handles billing, payment, refunds, and cancellations. We do not collect/store full payment card details.
    9.2 Auto-renewal: Subscriptions auto-renew until canceled; you authorize fees/taxes.
    9.3 Managing: Cancel anytime; effective at period end. Manage via iOS Settings -> Apple ID -> Subscriptions. We cannot cancel for you.
    9.4 Refunds: Via app store policies (e.g., “Report a Problem”).
    9.5 Price changes/trials: Prices may change; notice where required. Trials/promos convert to regular price if not canceled; unused trial time forfeited on purchase.
    9.6 Pro features: Pro raises usage limits (folders/entries, owned calendars, shared calendar edits, stamp days, attachment uploads, savings goals, expense categories, budget exports, workout routines). Features/limits/pricing may change; billing/refunds per app store.

  1. Intellectual Property
    Services (excluding User Content) are owned by DutyWire/licensors. Marks are trademarks of DutyWire. No rights granted beyond Section 4.

  2. Feedback
    You allow us to use feedback without restriction/obligation/compensation.

  3. Changes to the Services
    We may modify/update/suspend/discontinue all/part of the Services at any time.

  4. Changes to These Terms
    We may update these Terms; the “Last updated” date will change, and additional notice may be provided for material changes. Continued use means acceptance; if you disagree, stop using and delete your account.

  5. Termination
    We may suspend/terminate for violations, risk, or discontinuation. You may stop at any time and request deletion (see the Privacy Policy). Upon termination, rights end; surviving provisions remain (IP, disclaimers, liability limits, indemnity, disputes).

  6. Disclaimers
    Services are “AS IS” / “AS AVAILABLE.” We disclaim all warranties to the fullest extent permitted (merchantability, fitness, non-infringement). No guarantee of uninterrupted/secure/error-free operation or accuracy/reliability.

  7. Limitation of Liability
    To the fullest extent permitted, DutyWire and its owners/officers/employees/affiliates are not liable for indirect/incidental/special/consequential/punitive damages or loss of profits/revenue/data/use/goodwill arising from use/inability to use, third-party conduct/content, content obtained, or unauthorized access/use. Total liability is capped at the greater of (a) amounts you paid in the prior 12 months or (b) USD $100. Some jurisdictions vary; limits apply to the fullest extent allowed.

  8. Indemnification
    You will indemnify/hold harmless DutyWire and its owners/officers/employees/affiliates from claims/liabilities/damages/losses/expenses (including attorneys’ fees) arising from your use, User Content, breach of Terms, or rights violations.

  9. Consumer Rights
    Statutory rights remain unwaivable.

  10. Governing Law and Dispute Resolution
    Governing law: New Jersey/USA, without conflict principles. Exclusive venue: state/federal courts in New Jersey; you consent to jurisdiction.

  11. Account Deletion and Retention
    Delete in-app (Profile -> Settings -> Delete Account) or email support@dutywire.com. Deletion stops future access. Cloud-backed data is removed from active systems within a reasonable period, subject to legal/operational needs; shared calendar content may remain visible to other members; residual backups may persist briefly. Deleting your account does not cancel subscriptions—manage via Apple ID settings.

  12. Notifications
    Push/local notifications are optional and used for calendar reminders/service updates (no marketing). Manage in device settings.

  13. Copyright and Trademark Complaints
    For copyright/trademark concerns, email support@dutywire.com with details to identify the material and your claim. We may remove/restrict content and may terminate repeat infringers where appropriate.

  14. Miscellaneous
    Entire agreement: these Terms + Privacy Policy + feature-specific terms. Severability: if one part is unenforceable, the rest stands. No waiver: not enforcing a provision isn’t a waiver. Assignment: you can’t assign without consent; we may assign in connection with M&A/reorg/sale of assets. Force majeure: not liable for events beyond reasonable control. Headings: for convenience only.
